These Terms of Service are provided in Japanese and English.

In the event of any discrepancy, the Japanese version shall prevail.

Overview

These Terms of Service (hereinafter referred to as the “Terms”)

set forth the conditions for use of the services

(hereinafter referred to as the “Service”) provided by Daily Botanical Moments (hereinafter referred to as the “Company”)

through this online store.

Users (hereinafter referred to as “Users”) shall use the Service upon agreeing to these Terms.

 

The Company operates the Service using the Shopify platform.

All sales contracts are formed solely between the Company and the User,

and Shopify is not a party to any sales transaction.

Users agree to release and hold harmless Shopify and its affiliates

from any claims arising out of transactions with the Company.

 

The Company’s products are shipped from domestic locations.

The Company serves as the point of contact for all inquiries and communications regarding products.

 

Individual policies published on the Service (Shipping Policy,

Return & Refund Policy, Privacy Policy,

Product Usage Precautions, etc.) constitute part of these Terms.

In the event of any conflict between these Terms and individual policies,

the individual policies shall prevail.

 

By using the Service, Users are deemed to have agreed

to these Terms and the Privacy Policy.

If you do not agree, please do not use the Service.

Article 1 (Registration & Account)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. Users represent that they have reached the age of majority

  under the laws of their country or region of residence

  (18 years of age or older in Japan).

  Minors require the consent of a legal guardian.

 

2. Users shall provide accurate and up-to-date information

  and properly manage their account (ID and password)

  at their own responsibility.

  IDs and passwords may not be lent, transferred, or sold to third parties.

  The Company shall not be liable for any damages arising from insufficient

  management of IDs or passwords or their use by third parties.

 

3. The Company may refuse registration or suspend/delete an account

  without disclosing the reason if registration information is false,

  if consent of a legal guardian has not been obtained,

  if the User is determined to be or have ties with antisocial forces

  (organized crime groups, members thereof, or similar entities; the same shall apply hereinafter),

  if the User has previously violated these Terms,

  or if the Company otherwise deems the registration inappropriate.

Article 2 (Products)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. The Company endeavors to represent products accurately;

  however, colors and appearance may differ from actual products

  due to device settings or photography methods.

 

2. Product descriptions and prices are subject to change without notice.

  The Company reserves the right to discontinue products or impose quantity limits at any time.

 

3. Please review the “Product Usage Precautions” before using any product.

Article 3 (Orders, Contract Formation, and Cancellation)

1. Submission of an order constitutes an offer to purchase by the User.

  A sales contract is formed when the Company sends the order confirmation email.

  The Company reserves the right to refuse any order at its discretion.

 

2. Users represent that products are for personal use

  and not for commercial resale or export.

 

3. Cancellations are accepted before shipment.

  Cancellations after shipment will not be accepted.

 

4. The Company may cancel an order even after contract formation

  in cases of violation of these Terms, payment issues,

  incomplete or unapproved payment processing, out-of-stock items,

  prolonged absence or unknown address, fraudulent orders, pricing errors,

  or other circumstances deemed necessary by the Company.

 

5. Returns and exchanges shall be governed by the Company’s Return & Refund Policy.

  The cooling-off period does not apply to mail-order sales.

Article 4 (Pricing and Payment)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. The applicable price is the price at the time of order.

  Unless otherwise stated, displayed prices do not include taxes, shipping fees, or handling charges.

 

2. For credit card payments, the terms and conditions of the card issuer shall apply.

  The Company shall not be liable for any disputes between the User and the card issuer.

 

3. Users agree to provide accurate and complete payment information

  and to pay all charges including listed prices, shipping fees, handling charges, and taxes.

Article 5 (Shipping and Transfer of Ownership)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. Shipping details are set forth in the Shipping Policy.

  Delivery times are estimates and not guaranteed.

  The Company shall not be liable for delays caused by factors beyond its control.

 

2. Ownership of products transfers to the User when the Company hands over the products to the shipping carrier.

  However, damage or loss during transit shall be handled in accordance with the Shipping Policy and the Return & Refund Policy.

 

3. When tracking information records a delivery as “delivered,”

  the Company shall deem the product to have been delivered.

Article 6 (Refusal of Delivery and Address Errors)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

In cases of refusal of delivery without legitimate reason,

return due to prolonged absence, or undeliverable shipment

due to incorrect address information, the User shall bear

round-trip shipping costs and any other actual expenses

incurred by the Company.

The Company has no obligation to redeliver the product,

and if redelivery is requested, the associated costs shall

be borne by the User.

Article 7 (Returns and Defective Products)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. Returns and exchanges shall be subject to the conditions

  set forth in the Return & Refund Policy. This Article

  constitutes part of the return special agreement under

  Article 15-3 of the Act on Specified Commercial Transactions.

 

2. In the event of defects, damage, or incorrect delivery,

  please contact the Company within 7 days after receipt of the product.

  Upon verification, the Company will take appropriate action

  at its discretion.

Article 8 (Use of Products)

1. Products must be used in accordance with the stated

  use outside the intended purpose, modification, or improper use,

  except in cases of willful misconduct or gross negligence

  on the part of the Company.

 

3. In the event of an accident caused by a product defect,

  immediately discontinue use and contact the Company.

Article 9 (Intellectual Property and User Content)

1. All content on the Service belongs to the Company or its licensors

  and is protected by copyright law and other applicable laws.

  Reproduction, distribution, or reuse without the Company’s

  written consent is prohibited.

 

2. When a User posts reviews, photographs, or other content

  (hereinafter referred to as “User Content”), copyright remains

  with the User. However, the Company may use such User Content

  free of charge to the extent necessary for the provision,

  improvement, and promotion of the Service, and the User

  agrees not to exercise moral rights with respect thereto.

 

3. All rights not expressly granted under these Terms

  are reserved by the Company.

Article 10 (Privacy and Personal Information)

2. The Service is hosted on Shopify, and Shopify may

  collect and process User information. Please refer to

  the Privacy Policy for details.

Article 11 (Prohibited Conduct)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

Users shall not engage in the following acts:

Violations of laws or criminal activity; acts contrary to public order and morals;

fraud or threats; infringement of the rights of the Company or third parties;

transmission of false information; transmission of viruses or other malicious code;

excessive system load or reverse engineering;

unauthorized access; impersonation; use of other Users’ IDs;

unauthorized advertising or solicitation;

unauthorized collection of other Users’ information;

scraping or crawling; spamming;

providing benefits to antisocial forces;

reproduction or resale of the Service;

acts that cause or facilitate any of the foregoing;

or any other acts deemed inappropriate by the Company.

Article 12 (Fraudulent Orders and Chargebacks)

1. The Company reserves the right to review all orders

  and may cancel orders deemed fraudulent.

  The Company may request identity verification,

  and if such verification is refused, the order may be cancelled.

 

2. In response to fraudulent chargebacks, the Company may

  submit disputes using tracking information and other evidence,

  suspend accounts, claim actual damages,

  and take legal action.

 

3. The Company may, at any time, take measures to prevent fraud,

  including refusing orders from specific Users,

  imposing quantity limits, or blocking accounts.

Article 13 (Suspension, Modification, and Termination of the Service)

1. The Company may suspend, interrupt, modify, or terminate

  all or part of the Service without prior notice

  in cases of system maintenance, system failure, force majeure,

  or other circumstances deemed necessary by the Company.

 

2. The Company may suspend or delete accounts and remove User Content

  without prior notice in the event of violation of these Terms,

  false registration information, filing for suspension of payments,

  bankruptcy or similar proceedings, discovery of ties with antisocial forces,

  non-use for more than six months, failure to respond to Company communications

  for more than 14 days, or other circumstances deemed inappropriate.

 

3. The Company shall not be liable for any damages suffered by Users

  as a result of measures taken under this Article,

  except in cases of willful misconduct or gross negligence by the Company.

Article 14 (Exclusion of Antisocial Forces)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

Users represent and warrant that they are not currently, and will not in the future become,

members of antisocial forces; that they do not maintain socially condemned relationships

with such forces; that they do not provide funding or otherwise engage with such forces;

and that they do not make violent or threatening demands.

The Company may suspend or delete accounts without prior notice

if a violation is determined and shall not be liable for any resulting damages.

Article 15 (Disclaimer of Warranties and Limitation of Liability)

1. The Company makes no warranties regarding fitness for a particular purpose,

  functionality, accuracy, usefulness, compliance with laws, continuity,

  or absence of defects of the Service.

 

2. The Company’s liability for damages shall be limited

  to the purchase price of the applicable product,

  and the Company shall not be liable for indirect damages.

 

3. However, this limitation shall not apply to damages arising from

  willful misconduct or gross negligence of the Company,

  or to damages to life or bodily integrity.

 

4. This Article shall not apply to the extent it conflicts with

  the Consumer Contract Act or other mandatory provisions of law.

Article 16 (Indemnification)

Users agree to indemnify and hold harmless the Company,

all losses, damages, and claims (including attorneys’ fees)

arising from violation of these Terms, infringement of laws

or third-party rights, or misuse of the Service.

Article 17 (Third-Party Tools and Links)

and the Company shall not be responsible for their content or accuracy.

Article 18 (Notices and Communications)

Notices between the Company and Users shall be made

Notices sent to the registered email address shall be deemed received.

Users are responsible for keeping their registered information up to date at all times.

Article 19 (General Provisions)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

1. Users may not assign or pledge any rights or obligations under these Terms

  without the Company’s prior written consent.

  The Company may assign its rights and obligations without notice.

 

2. If any provision of these Terms is held invalid,

  the remaining provisions shall remain in full force and effect.

 

3. Failure by the Company to exercise any right

  shall not constitute a waiver of such right.

 

4. These Terms and individual policies constitute

  the entire agreement between the User and the Company.

 

5. Headings in these Terms are for convenience only

  and shall not affect interpretation.

 

6. Provisions relating to intellectual property rights,

  disclaimer of warranties, limitation of liability, indemnification,

  exclusion of antisocial forces, and privacy

  shall survive termination of the contract.

Article 20 (Amendment of the Terms)

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

 

The Company may amend these Terms at any time.

Amendments shall be announced by posting the effective date

and details on the website and shall take effect from the posted effective date.

Continued use of the Service after such amendments

shall be deemed acceptance thereof.

Article 21 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan.

Any disputes arising in connection with these Terms

shall be subject to the exclusive jurisdiction of

the court having jurisdiction over the location of the Company’s head office

as the court of first instance.

However, this shall not preclude the application of mandatory

consumer protection laws.
